These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which our principal place of business is located, without regard to its conflict of law provisions.
To the extent that any dispute is not subject to mandatory arbitration as described below, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the United States for the resolution of any disputes arising from or relating to these Terms or our Services. 11.2 Binding Arbitration
IF WE ARE UNABLE TO RESOLVE YOUR DISPUTE INFORMALLY, YOU AND GREEN LANTERN PIZZA AGREE THAT ANY AND ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, OUR SERVICES, OR YOUR RELATIONSHIP WITH US SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, RATHER THAN IN COURT, EXCEPT AS PROVIDED BELOW.
The arbitration shall be conducted by a recognized arbitration organization under its applicable rules and procedures. The arbitration shall take place in the United States, and the arbitrator's decision shall be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.
11.3 Class Action Waiver
YOU AND GREEN LANTERN PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and we agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding.
11.4 Exceptions to Arbitration
Notwithstanding the above, either party may seek relief in a court of competent jurisdiction for:
- Claims involving intellectual property infringement;
- Emergency injunctive or other equitable relief to prevent irreparable harm;
- Claims that may not be subject to arbitration under applicable law.

Nothing in these Terms shall be construed to limit or waive any rights you may have under applicable consumer protection laws, including rights under the Federal Trade Commission Act (FTC Act), state consumer protection statutes, or other applicable federal and state laws. Changes to these Terms will not apply retroactively and will become effective no sooner than fourteen (14) days after they are posted, except for changes addressing new features or changes made for legal reasons, which will be effective immediately.
14. Severability
If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable under applicable law by a court of competent jurisdiction or an arbitrator, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
The failure of Green Lantern Pizza to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any provision of these Terms by either party shall only be effective if made in writing and signed by an authorized representative of the waiving party, and shall not be construed as a waiver of any subsequent breach or default.
15. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Green Lantern Pizza with respect to your use of our Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
No agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship is intended or created by these Terms of Service or your use of our Services.
16. Force Majeure
Green Lantern Pizza shall not be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government restrictions, labor disputes, strikes, supply chain disruptions, utility failures, cyberattacks, or any other event of force majeure. In such circumstances, our obligations shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.
